These Terms of Service (“Terms”) constitute a binding agreement between Honea Business Group (“HBG,” “we,” “us,” or “our”) and any individual or business (“Client,” “User,” or “you”) that accesses our website, submits an application, or uses our services.
By accessing our site or entering a service relationship with HBG, you agree to these Terms.
1. Definitions
“Services” means backend operations support, messaging management, scheduling, pricing structure organization, system setup, and related business support.
“Client Agreement” refers to the signed contract outlining service terms for that specific client.
“Revenue Share” means the percentage of client income owed to HBG, as outlined in the contract.
“Platform Access” refers to login credentials, apps, accounts, or tools provided by the client for service delivery.
2. Scope of Services
HBG provides backend operational support including, but not limited to:
Client communication management
Scheduling and calendar systems
Pricing and service organization
Administrative workflows
Forms, booking systems, and pipeline setup
Business operational structuring
HBG does not provide:
Legal advice
Tax or accounting services
Mental health or medical services
Guaranteed business outcomes
3. Application and Acceptance
Submitting an application does not guarantee acceptance.
HBG may approve or decline applicants at its discretion.
4. Client Relationship
A client relationship begins only after:
Client acceptance
Signing the Client Agreement
Providing required information
Providing necessary platform access
Failure to complete onboarding requirements may delay or prevent service delivery.
5. Revenue Share and Payment Obligations
Unless otherwise stated in writing:
Standard revenue share is 30% of gross monthly revenue
Client processes their own customer payments
Client must provide accurate reporting
Payments to HBG are due as outlined in the contract
HBG may request revenue verification if necessary.
6. Client Responsibilities
Clients agree to:
Provide truthful and accurate information
Communicate in a timely manner
Maintain platform logins and access
Follow operational procedures
Notify HBG of price changes, schedule changes, or service changes
Not hide or misreport revenue
HBG is not responsible for delays caused by incomplete client information.
7. Intellectual Property
HBG retains ownership of all templates, workflows, systems, and materials created.
Clients receive a non-exclusive license to use custom systems created specifically for their business.
Clients may not resell or redistribute HBG materials.
8. Ownership After Termination
When the partnership ends:
Clients retain the custom systems created for their business
HBG retains ownership of its proprietary frameworks and templates
Access to HBG-managed accounts is removed
9. Confidentiality
Both parties agree to maintain strict confidentiality of:
Business processes
Personal information
Revenue details
Internal communications
Login credentials
Confidentiality applies even after termination.
10. Service Limitations
HBG is not liable for:
Platform outages
Missed communications due to third-party apps
Client-created scheduling conflicts
Losses due to client inaction or errors
Software updates that affect workflows
HBG supports operations but is not responsible for platform functionality outside our control.
11. No Guarantees
HBG does not guarantee:
Increased revenue
Specific business results
Booking volume
Growth outcomes
Performance targets
Client results depend on factors outside HBG’s control.
12. Limitation of Liability
To the maximum extent allowed by law:
HBG’s liability is limited to the amount paid by the client in the previous 30 days
HBG is not liable for indirect, incidental, special, or consequential damages
13. Indemnification
Clients agree to indemnify and hold HBG harmless for claims arising from:
Client misuse of services
Misrepresentation or concealment
Third-party disputes
Client negligence or breach of these Terms
14. Termination
Either party may terminate services according to the Client Agreement.
HBG may terminate immediately for:
Non-payment
Abuse, harassment, or unsafe communication
Fraud or revenue concealment
Violation of these Terms
Upon termination:
Revenue share ends
Systems created for the client remain with them
Access to HBG accounts is revoked
15. Dispute Resolution
These Terms are governed by the laws of Texas.
Any disputes must go through:
Good-faith negotiation
Mediation
Binding arbitration in Montgomery County, Texas
16. Amendments
HBG may update these Terms at any time.
Continued use of our services means you accept updated Terms.
